The Corporate Governance & Secretariat function (CG&S) leads, develops and manages corporate governance throughout the Group.
The CG&S function serves as principal advisor to boards of directors and the executive committee on corporate governance matters, and leads and implements a world-class corporate governance practice throughout the Group providing end-to-end governance advice. The CG&S function consists of c.230 FTE across 25 countries. It is led globally by the Group Company Secretary & Chief Governance Officer who reports directly to the Group Chairman and Group CEO.

We are currently seeking an experienced professional to join our team.
In line with HSBC’s values and purpose, the role holder will play a critical role in “opening up a world of opportunity” with corporate governance as an enabler. They will assist in driving discipline, accountability, and effective decisions to protect the Board and Executive Management creating a culture where we “value difference, take responsibility, succeed together and get it done”.
In this role you will:
- Be part of the Switzerland Corporate Governance & Secretariat (CG&S) team comprising four employees who are responsible for all HSBC entities incorporated in Switzerland (a bank, an asset management company, a service company and a holding company). The team also provides support to subsidiaries, branches and representative offices abroad
- The scope and responsibilities of the role will be shaped to the level of experience of the job holder
- A key focus of the role holder will be to assist and support the CG&S team on corporate law matters and governance requirements and in this capacity the job holder will be collaborating closely with the Legal and Compliance functions
- The job holder will draft corporate governance papers requiring an outstanding English written capability
Compliance with law & regulation
- Be the Subject Matter Expert of the team with regard to Law & Regulation; interpret and execute legislation and regulations applicable to Switzerland; understand and fulfil all statutory obligations for HSBC companies, subsidiaries and branches, monitor the legislative and regulatory environment to identify future changes and assess the impacts for HSBC
- Keep up-to-date the organizational regulations and the corporate governance framework of relevant companies
- Manage corporate records and filings for HSBC companies, subsidiaries and branches
- Monitor the compliance with the Group CG&S standards & manuals and draft Standard Practice Instructions
- Provide advice, guidance and support on corporate governance, statutory, regulatory, governmental and best practice requirements and corporate structure activities
Servicing governance forums
- This role holder will also manage a portfolio of companies to enable effective operation of their boards, board committees and executive committees. The role holder will organize and manage meetings including setting agendas with the respective chairs, review papers, draft corporate governance papers, minutes and actions points
- Provide support in the appointment of board directors and executive committee members
- Manage a wide range of relationships, at the highest levels, with key internal and external stakeholders
Team members
- Support the Company Secretary and Head of Corporate Governance Switzerland in delivering the objectives of the CG&S function
- The job holder will drive the highest standards of corporate governance to support the delivery of strategy and to satisfy the expectations of our stakeholders
- Contribute to the training and development of staff in the Company Secretarial function
- Perform all administrative activities required by the role
To be successful in the role, you should meet the following requirements:
- Company Secretarial, Lawyer or Legal qualification with 8 to 15 years of relevant experience essential, particularly in relation to Corporate law and Governance standards – exposure to Swiss law and banking regulation would be a strong asset
- Candidate with less relevant experience or skills may be offered a lower Global Career Band than stated above.
- Fluent in English (spoken & written), work experience in French and German will be an asset
- Outstanding written/verbal communication and presentation skills
- Ability to deal effectively with ambiguity, complex matrix environment and multiple stakeholders
- Able to quickly understand and consolidate diverse and complex business information and identify / mitigate risk issues
- Strong ability to effectively engage and negotiate with senior stakeholders, demonstrating foresight and highly developed interpersonal skills
- Work with considerable autonomy in managing his / her portfolio
- Ability to look at the big picture as well as have a keen eye for detail
- Open to new ways of working and collaborating with other functions to identify and implement best practices
- Change-oriented, providing and implementing fresh ideas to simplify/improve processes and controls
- Proven ability to prioritize competing demands and to work under pressure
- Good ability to work with electronic applications (eg Diligent / Englobe)
- Dynamic and agile, able to adapt to changing work priorities and to handle multiple urgent activities covering different topics
- Team player with positive energy and willingness to absorb additional work to help colleagues, when needed
- Strong understanding of HSBC Group policies, values and businesses
