Are you passionate about shaping the governance landscape of a dynamic organization? We are seeking a proactive and experienced individual to join us as a Senior Corporate Governance Manager. In this role, you will report directly to the General Counsel and Chief Corporate Affairs Officer (CAO) and will play a crucial part in managing external relationships, driving Board of Directors effectiveness, and ensuring adherence to governance standards. Tasks:

  • External stakeholder management with Corporate Governance experts such as Proxy Advisors, Rating Agencies and Public Authorities, etc.
  • Steering and overall planning of the agenda of Board of Directors and Board of Directors Committees requirements and tasks for the of Annual Report, Annual General Meeting (including shareholder invitation and potential extraordinary General Meetings (corporate schedule)
  • Board of Director administration management including document management and preparation of Board of Directors meetings (agenda setting, document requests and upload, action point management)
  • Operation of the Chairman's office
  • Actively participate to external Corporate Governance meetings with the Chair of the Board of Directors
  • Set-up and regularly update the Corporate Governance KPI management and prepare reports to internal and external stakeholders
  • Support and coordination of Corporate Governance requirements and internal implementation steering in accordance with the annual calendar (e.g. with AGM)

Requirements:

  • University Degree in a relevant field
  • Able to operate at the Board of Directors and Executive Committee levels, thus possessing experience in dealing with these stakeholders
  • Experience in internal stakeholder management, particularly in highly interconnected projects (e.g., supporting the Corporate Annual Plan/Wheel)
  • Possible leadership experience
  • Experience with general meetings and issuing invitations to general meetings
  • Experience and knowledge of corporate governance aspects related to investors, including proxy advisory, general meetings, and issuing invitations to general meetings
  • Fluency in German and English is required
