For one of our client, we are looking for a Finance Lawyer with minimum 8 years PQE in asset financing or corporate finance.

International and prestigious company based in Geneva.

Description

  • Manage transactions from the term sheet stage to closing, including various types of financings, in collaboration with the commercial and technical teams within the Finance Department.
  • Provide specialized legal advice and handle the drafting and negotiation of contracts related to asset financing, such as traditional loan agreements, ECA financing, structured financings like tax leases or off-balance sheet arrangements, and hedging contracts (ISDA, CSA).
  • Offer expert legal guidance and manage the drafting and negotiation of contracts tied to corporate financing, including revolving credit facilities, bond issuances, securitization, reverse factoring, etc.
  • Deliver expert legal support and handle the drafting and negotiation of contracts concerning the construction, supervision, and delivery of various assets, as well as the sale and purchase of such assets.
  • Provide specialized legal input and manage the drafting and negotiation of contracts related to cash investment products.
  • Lead the negotiation of legal terms with external parties and coordinate efficiently with external advisors during the establishment of financings.
  • Develop and implement procedures to streamline the team's daily operations, such as tracking and validating expenses, opening bank accounts, managing the KYC process, and updating the archiving system.
  • Oversee and ensure consistency in group commitments and compliance with contractual terms, and report to Finance Directors on issues with suggested solutions.

Profile

  • Ideally holds a UK qualification.
  • At least 8 years of experience in legal positions related to financing, preferably in private practice with a focus on asset financing or corporate financing.
  • Demonstrated experience and expertise in negotiating and drafting financing agreements, including with multilateral institutions, commercial banks, export credit agencies, and leasing companies.
  • Excellent command of both written and spoken English.
  • Ability to work within a small team in a demanding and dynamic environment where confidentiality is crucial.
  • Proactive, diligent, and detail-oriented.
