Position Overview

The Senior Counsel, DACH & Nordics, International will be the primary legal counsel for the Company’s business activities in Germany, Switzerland, Austria and the Nordic countries. The Senior Counsel, DACH & Nordics, International will also assist on special projects as necessary to help grow and expand the Company’s international business, which includes commercialization, or plans to commercialize, products and services in the International Region and also conduct some corporate law functions, such as real estate, procurement and finance matters. The Senior Counsel, DACH & Nordics, International will report to the Senior Director, Lead Counsel International and become a member of the Company’s global legal department.

The place of work is the Company’s international headquarters in Baar, Switzerland (Canton of Zug). This position can also be hired in Warsaw, Poland.

Essential Duties

Include, but are not limited to, the following:

  • Manage and lead day-to-day delivery of legal services to Exact Sciences’ business activities in Germany, Switzerland, Austria and the Nordic countries.
  • Provide legal and contract support for commercial business and operations, managing and liaising with external counsel as necessary. 
  • Provide legal support to the finance, real estate and procurement functions, such as engagement letters, know your customers, treasury requests, leases, facilities, logistics and other procurement matters.
  • Oversee legal review of commercial contracting, including by helping to implement, and train the business on, GDPR-compliant contracting processes, systems and policies.
  • Partner with cross-functional legal and business teams to review compliance-sensitive contracts and materials, including grant agreements, sponsorship contracts, healthcare professional (HCP) arrangements and advertising/promotional materials.
  • Provide clear, practical advice to country manager(s), other business leaders and employees and other legal department members on a variety of matters.
  • Demonstrate business acumen, intellectual curiosity and creativity, and relevant legal, regulatory and industry issues.
  • Uphold Company mission and values through accountability, innovation, integrity, quality, and teamwork.
  • Support and comply with the Company’s Quality Management System policies and procedures.
  • Maintain regular and reliable attendance at the Company’s international headquarters.

Minimum Qualifications

  • Advanced law degree (Masters level or above or equivalent).
  • 5+ years of experience as associate, counsel or partner (or international equivalent titles and/or roles) at a law firm, in a corporate law department or governmental setting.
  • Native or near-native level fluency in written and spoken English and German, including legal drafting.
  • Experience with common commercial contracts (e.g., vendor, public and private sales, distribution, licensing and scientific collaborations).
  • Excellent communication skills (written and oral).
  • Ability to effectively collaborate with all levels of the organization, including senior leadership.
  • Ability to navigate complex legal and regulatory environments.
  • Ability to juggle competing priorities in a reporting matrix.
  • Capacity to thrive in a cross-functional, multicultural and collaborative team environment.
  • General eagerness to learn and ability to navigate new areas of legal landscape.

Preferred Qualifications

  • Experience in the life-sciences industry, especially medical or in vitro diagnostic devices.
  • Prior professional exposure to substantive law of multiple jurisdictions.
  • Familiarity and experience with data-protection matters.
