Position: Partner & Head of Capital Markets
Location: Zurich
Workload: 100% full-time
Objective
The Partner & Head of Capital Markets is responsible for leading and further developing the firm’s capital markets practice and positioning the firm as a trusted legal advisor for equity, debt and hybrid capital transactions.
Responsibilities
- Leading and overseeing the structuring and execution of capital market transactions, including IPOs, rights issues, private placements, bond issuances, convertible instruments and structured products
- Advising clients on legal and regulatory matters related to capital raising, stock exchange admission procedures, disclosure obligations and corporate governance
- Ensuring compliance with Swiss and international regulations (e.g. FinSA, FinIA, MAR, EU Prospectus Regulation, SIX Swiss Exchange rules and other relevant exchanges)
- Drafting, reviewing and negotiating transaction documents, including prospectuses, offering memoranda, issuance agreements and shareholder communications
- Maintaining relationships with regulators, exchanges, issuing banks and other stakeholders throughout the transaction cycle
- Acquiring new mandates and expanding the firm’s presence in the capital markets area
- Identifying cross-selling opportunities and collaborating with other practice groups (e.g. M&A, banking law, regulation, tax law) to provide integrated legal solutions
- Maintaining and expanding long-term client relationships through high-quality service and proactive engagement
- Developing business development strategies, contributing to thought leadership (e.g. articles, webinars, events) and representing the firm at industry conferences
- Mentoring and supervising junior lawyers and associates, promoting professional development and knowledge exchange
- Ensuring compliance with internal quality standards, billing targets and operational goals
Requirements
Education
- Swiss bar admission and top-tier qualification
- Excellent academic credentials in law (Master’s degree/PhD)
- Additional studies in commercial or financial law
Professional Experience
- At least 10 years of proven professional experience as a lawyer, preferably in a partner role at a law firm, an auditing firm or in a senior position in the legal department of a bank or asset management company.
Languages
- Confident style, good English and German skills
- Additional languages (e.g. French, Italian) are an advantage.
